Capital Solutions / Strategic & Complex Situations
Capital for a transaction — or a situation a conventional process has already refused.
This is where most of the value sits, and where most businesses arrive already tired. Either the requirement is genuinely complex — a transaction whose economics depend on the target, an unusual structure, a situation with several moving parts — or it is a requirement that has already been declined somewhere and nobody explained why. Both need the same first step: a diagnosis, before anything is sent anywhere again.

What this looks like from the inside
Acquisition
Funding a transaction where the target's own economics form part of the case.
Complex capital situation
A conventional rejection that has never actually been diagnosed.
A rejection is a decision, not a diagnosis. Where a requirement has been turned down, the useful question is which constraint caused it, and whether that constraint can be restructured or routed through a different capital pathway.
What a capital provider is actually weighing
Nobody is assessing how much you need. They are assessing whether they can be repaid, from what, and what happens if they are not.
The assessment
The four things that decide this.
Standard commercial practice, not any specific lender's policy — but a requirement that answers these before it is asked has already separated itself from most files.
The specific constraint behind the decline
Cash flow, security, conduct, sector view or structure — a refusal usually traces to one of them, rarely to all.
Whether the constraint is fixable
Some are a matter of presentation and sequencing; others are structural and will not move. Knowing which is which saves months.
For acquisitions, the target's own economics
How much of the repayment case rests on the acquired business performing, and how that risk is shared.
How many desks have already seen it
A requirement circulated widely and refused repeatedly is harder to place than a fresh one. Broadcasting a file has a real cost.
How VEDAM structures it
What happens before anyone sees your file.
- 01
Diagnose the refusal before doing anything else — a second attempt built on the same flaw simply confirms the first answer.
- 02
Where the constraint is fixable, reshape the requirement before it goes near another desk.
- 03
Where it is not, say so plainly and stop, rather than continuing to spend the business's time.
- 04
Where the constraint is structural but the business is sound, consider whether a different class of capital provider reads the same situation on entirely different terms.
When we’ll tell you it isn’t ready
An early no is worth more than a slow one. In this family, these are the signals that the requirement needs work before it goes anywhere:
- The file has already been sent to many providers and no record exists of who saw what.
- Nobody has asked the declining institution for the actual reason — and it can often simply be asked for.
- The transaction economics rely on assumptions about the target that have not been tested.
Questions
Strategic & Complex Situations — common questions
My requirement was rejected by a bank. Is it worth another attempt?
Only after a diagnosis. A rejection is a decision, not an explanation, and it usually traces to one specific constraint — cash flow, security, banking conduct, sector view or structure. If that constraint can be restructured, a second attempt is worth making. If it cannot, you should be told that rather than taken through another round.
Does sending a requirement to many lenders improve the odds?
It usually reduces them. A file that has been widely circulated and repeatedly declined becomes harder to place, and the relationships that mattered get spent on an unready proposal. Structuring first and approaching deliberately is slower to start and considerably faster to finish.
