Capital Solutions / Refinancing & Promoter Capital
Capital that fixes the shape of what is already on the balance sheet.
Not every capital problem needs new capital. Debt taken on at a different stage of the business, on terms that made sense then, can quietly become the constraint — repayments timed against a cycle that has changed, pricing that no longer reflects the risk, or security tied up more tightly than it needs to be. Reshaping what already exists often releases more headroom than adding to it, and it is usually the faster route.

What this looks like from the inside
Refinancing
Existing debt is priced, structured or timed wrong for the business it funds.
Promoter funding
Capital raised at the promoter level rather than inside the operating company.
Sometimes the problem isn't the absence of capital — it's capital that is priced, structured or timed wrong for the business carrying it. Reshaping existing obligations can release more room than a new facility would.
What a capital provider is actually weighing
Nobody is assessing how much you need. They are assessing whether they can be repaid, from what, and what happens if they are not.
The assessment
The four things that decide this.
Standard commercial practice, not any specific lender's policy — but a requirement that answers these before it is asked has already separated itself from most files.
Repayment record
How the existing facilities have actually been serviced. A clean record is the strongest asset in a refinancing case.
Why the refinancing is happening
Whether it is being done to improve terms or to relieve distress. These read very differently and the file should be honest about which it is.
The security already committed
What is charged, to whom, and whether it can be released or re-ranked cleanly.
Promoter standing
For promoter-level funding: personal financial position, holdings, and the relationship between promoter and operating company.
How VEDAM structures it
What happens before anyone sees your file.
- 01
Compare the true cost of the existing arrangement against the proposed one across the full tenure — not just the headline rate.
- 02
Sequence the release and re-creation of security so the business is not exposed in between.
- 03
State the reason for the refinancing plainly. A file that hides distress and is later found out loses the relationship, not just the deal.
- 04
For promoter funding, keep the promoter-level and company-level positions clearly separated so neither obscures the other.
When we’ll tell you it isn’t ready
An early no is worth more than a slow one. In this family, these are the signals that the requirement needs work before it goes anywhere:
- There have been recent servicing irregularities that have not been explained or contextualised.
- The existing security position is not documented and no one is certain what is charged where.
- The refinancing is really about a shortfall elsewhere that has not been named.
Questions
Refinancing & Promoter Capital — common questions
Is refinancing worth it if the rate difference is small?
Rate is only one of the variables. Tenure, repayment timing against the business's actual cash cycle, security released, and covenants often matter more to how much room the business gets back. The comparison should be run across the full tenure, not on the headline rate.
What is promoter funding?
Capital raised at the promoter level rather than inside the operating company — typically against the promoter's own holdings or assets. It is used where funding inside the company is constrained, and it requires the promoter's position and the company's position to be presented as clearly separated.
