VEDAM Capital

Methodology

Seven stages. Three phases. No step skipped.

Most capital requirements fail on process, not merit. This is the sequence a VEDAM mandate follows — what happens at each stage, what we need from you, and what exists at the end of it.

Three phases

Understand · 01–02
Before a rupee is discussed, the requirement has to be right.
Structure · 03–05
A requirement becomes fundable when it becomes a structure.
Deliver · 06–07
A mandate only counts if it executes.

A working design concept for how VEDAM approaches a mandate — not a guaranteed legal or process sequence.

Understand

Most rejected requirements were never diagnosed — only submitted. This phase establishes what is actually needed and what is actually possible.

Before a rupee is discussed, the requirement has to be right.

  1. 01

    Understand

Clarify the real requirement, not the headline number.

We start with the business rather than the amount — what the capital is for, what constraint created the need, and what happens on the timeline if it doesn't arrive.

    You provide
A conversation. No documents at this stage.
    What exists afterwards
A written requirement statement both sides agree is accurate.
  2. 02

    Assess

Test the requirement against the pathways that actually exist.

Cash flow, security, banking conduct and promoter position are read the way a capital provider will eventually read them — before any provider is approached.

    You provide
Financials, banking history, existing debt and available security.
    What exists afterwards
An honest view of which capital pathways are realistic — and which are not.

Structure

This is the work that separates an enquiry from a mandate: shaping the ask, then putting the documentation and diligence in place before anything moves.

A requirement becomes fundable when it becomes a structure.

  1. 03

    Structure

Shape the requirement into a form a capital provider can act on.

Amount, tenure, security, repayment logic and the supporting case are built into one coherent structure instead of a loose ask sent to many desks.

    You provide
Your decisions on the trade-offs we put in front of you.
    What exists afterwards
A defined capital structure and the case that supports it.
  2. 04

    Protect

Put documentation and diligence in place before anything moves.

Confidentiality, scope, responsibilities and terms of engagement are agreed in writing, so the mandate rests on documents rather than assumptions.

    You provide
    NDA and MOU execution.
    What exists afterwards
Signed NDA and MOU defining exactly what is being undertaken.
  3. 05

    Accept

VEDAM formally accepts the mandate — or declines it.

An internal review decides whether we can genuinely deliver this mandate. One we don't believe in is declined rather than carried quietly.

    You provide
    Nothing. This step is ours.
    What exists afterwards
A clear accept or decline, with the reasoning behind it.
Phase 32 stages · 06–07

Deliver

Execution is run as one coordinated process with a single point of accountability — not a set of introductions handed over and followed up by you.

A mandate only counts if it executes.

  1. 06

    Execute

Work the mandate end to end, coordinating every moving part.

Capital-provider conversations, queries, documentation and negotiation are managed as a single process, with progress visible against what was agreed.

    You provide
Timely responses on queries and documents.
    What exists afterwards
Live progress tracked against agreed milestones.
  2. 07

    Deliver

Close out against the milestones agreed at the start.

The mandate closes against what was defined at the beginning, with a record of what was done, what changed and why.

    You provide
    Final sign-offs.
    What exists afterwards
    Documented closure against the mandate.

Stages 01–03 are largely this: reading the numbers the way the other side of the table will read them, before anyone is asked for anything.

Engagement sequence

Where the commitments actually sit.

Nothing binding happens at enquiry. Confidentiality and scope are documented before work begins, and acceptance is a genuine decision point — VEDAM declines mandates it does not believe it can deliver.

  9. 09Closure

This describes the working engagement model. It is not a legal contract, and specific commercial terms — including any attempt fee and milestone structure — are agreed in writing per mandate. [CONTENT REQUIRED — OWNER INPUT: attempt fee and milestone terms]

Right capital. Right structure. Right outcome.

Know where your requirement stands.

A qualified enquiry takes one conversation. If the requirement isn't ready to be structured, you'll be told that instead of being taken through a process.
